This is a good-faith understanding between the two people named above — a handshake put on paper so nobody's memory has to do the work later. It is a record of intent, not a binding contract, and it is not meant to be enforced in court.
Both parties agree to say so plainly and early if circumstances change, rather than letting the other keep planning around a dead deal.
Anything money-related, licensed, or legally binding belongs in a signed contract instead. A formal agreement will follow. This stands on its own.
